Giveaway/Sweepstakes Official Rules
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING IN THE SWEEPSTAKES, YOU AGREE TO THE FOLLOWING TERMS (“OFFICIAL RULES”).
This Promotion consists of three daily, three weekly and three monthly sweepstakes drawings for a chance to win digital gift cards/e-gift cards totaling in aggregate $9,360 over the Promotion Period.
- 1. Sponsor: Sponsored by Vistra Corp., 6555 Sierra Drive, Irving, TX 75039 (“Vistra Corp.” or “Sponsor” or “we”) and administered by Loyalty Solutions LLC, 6 Landmark Square, 4th Floor, Stamford, CT 06901 (“Loyalty Solutions” or “Administrator”).
- 2. Eligibility: The “Entrant”: Vistra Corp. Rewards Program Sweepstakes (the “Promotion”) is open only to legal residents of the fifty (50) United States (including District of Columbia) who are at least eighteen (18) years old other than residents of the states of New York and Florida or otherwise where prohibited by applicable federal, state, and local law or regulation (“Law”). Employees of Vistra Corp., Loyalty Solutions, and any of their direct or indirect upstream owners, subsidiaries, and affiliate companies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, are not eligible. The Promotion is subject to all applicable Law and is void where prohibited. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing:
- The Promotion begins on August 1st, 2024, at 12:01 a.m. Eastern Time (“ET”) and ends on December 31, 2024 at 11:59 p.m. ET (the “Promotion Period”). The Promotion will consist of three (3) Daily Sweepstakes, three (3) Weekly Sweepstakes, and three (3) Monthly Sweepstakes (each a “Sweepstakes”) (together the “Sweepstakes”).
- Daily Entry Period: For purposes of the Daily Sweepstakes, a “day” begins at 9:00 a.m. ET and ends at 9:00 p.m. ET and consists of one hundred and fifty-two (152) separate daily entry periods.
- Weekly Entry Period: For purposes of the Weekly Sweepstakes, a “week” begins each Monday morning at 12:01 a.m. ET and ends at 11:59 p.m. ET every Sunday during the Promotion Period and consists of twenty-two (22) separate weekly entry periods.
- Monthly Entry Period: For purposes of the Monthly Sweepstakes, a “month” begins at 12:01 a.m. ET on the first of the month and ends on the last day of the month at 11:59 p.m. ET during the Promotion Period and consists of five (5) separate monthly entry periods.
- Administrator shall be the official timekeeper for the Promotion and its decisions regarding the same shall be binding.

4. How to Enter: There are two (2) ways to enter the Promotion:
- Use Rewards Received in Customer Reward Portal. During the Promotion Period, login to your Rewards Program account (“Rewards Account”) and navigate to the "Giveaways” icon. You will see a section for each of the active Sweepstakes. To enter a Sweepstakes click the “ENTER” button. Your first entry into each Sweepstakes will not require redemption of Rewards Dollars/Points (“Rewards Points”). Additional entries into Sweepstakes will be redeemable in exchange for Reward Points. When you redeem one (1) Reward Point, you will receive one (1) Entry into the Sweepstakes you selected (each a “Reward Entry”).
- Alternative Method of Entry. During the Promotion Period, click HERE and follow the links and instructions to complete and submit the entry, including selecting which Sweepstakes you are entering and answering a series of polling questions. Upon completion of the entry form and poll, you will automatically receive one (1) entry into each Sweepstakes you selected (each an “AMOE Entry”).
- 5. Limitations on Entry. Each Entrant is limited to a total of ten (10) entries (including both Reward Entries and AMOE Entries) per Sweepstakes per Entry Period. Multiple Entrants are not permitted to share the same email address or Rewards Account. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, Rewards Accounts, registrations and logins, or any other methods will void that Entrant's entries and that Entrant may be disqualified from the affected Sweepstakes as well as future Sweepstakes, in Sponsor’s sole discretion. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for deleted, lost, late, incomplete, invalid, unintelligible, or misdirected entries, which will be disqualified. In the event of a dispute as to any entry, the authorized email account holder of the email address associated with the Rewards Account or AMOE Entry used to enter will be deemed to be the Entrant. The “authorized email account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized email account holder. Sponsor reserves the right, in its sole discretion, to disqualify any Entrant it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner.
- 6 .Verification of Winners: All potential winners may be subject to verification by Sponsor or Administrator. In such cases, an Entrant is not a winner of any prize unless and until Entrant’s eligibility has been verified and Entrant has been notified that verification is complete. Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process. Any entry that occurs after the system has failed for any reason is deemed a defective entry, is void, and will not be honored. Receiving a prize is contingent upon compliance with these Official Rules. Each potential winner of a prize valued at or over $600 (or if the cumulative value of all prizes won in the Promotion Period is equal to $600 or more) may be sent an email to the email address associated with their Rewards Account or AMOE Entry and required to sign and return an IRS Form W-9 which must be received by Administrator within the time specified in the notice in order to claim the prize. Sponsor or Administrator may require completion of a Declaration of Compliance, Liability Waiver and, where not prohibited by Law, a Publicity Release ("Declaration"). If a potential winner of any prize cannot be contacted, or fails to sign and return the Declaration, tax forms or any other requested information within the required time period, the potential winner forfeits the prize. Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Sweepstakes (unless otherwise noted); Fulfillment could take longer due to delays outside of Sponsor's control.

There will be a total of three (3) Daily Sweepstakes winners drawn each day during the Promotion Period. One winner will be drawn for each of the Daily Sweepstakes categories listed below. The prizes for the Daily Sweepstakes are:- Coffee Sweepstakes: A ten-dollar ($10.00) Starbucks, Dunkin’ or Tim Horton’s (or alternative provider at Sponsor’s discretion) digital gift card.
- Breakfast Sweepstakes: A ten-dollar ($10.00) IHOP, Denny’s, Krispy Kreme, Cinnabon (or alternative provider at Sponsor’s discretion) digital gift card.
- Lunch Sweepstakes: A ten-dollar ($10.00) Panera Bread, Chipotle, Subway, Domino’s, or Burger King (or alternative provider at Sponsor’s discretion) digital gift card.

Weekly Sweepstakes
There will be a total of three (3) Weekly Sweepstakes winners drawn each week during the Promotion Period. One winner will be drawn for each of the Weekly Sweepstakes categories listed below. The prizes for the Weekly Sweepstakes are:- Rides Sweepstakes: A fifty-dollar ($50.00) Uber or Lyft (or alternative provider at Sponsor’s discretion) digital gift card.
- Dinner Sweepstakes: A fifty-dollar ($50.00) Chilis, Olive Garden, Outback, or TGIFriday’s (or alternative provider at Sponsor’s discretion) digital gift card.
- Movie Sweepstakes: A fifty-dollar ($50.00) AMC, Cinemark, Fandango, or Regal (or alternative provider at Sponsor’s discretion) digital gift card.

Monthly Sweepstakes
There will be a total of three (3) Monthly Sweepstakes winners drawn each month during the Promotion Period. One winner will be drawn for each of the Monthly Sweepstakes categories listed below. The prizes for the Monthly Sweepstakes are:- Shopping Sweepstakes: A one-hundred-dollar ($100.00) Target, Walmart, Visa, Amazon (or alternative provider at Sponsor’s discretion) digital gift card.
- Groceries Sweepstakes: A one-hundred-dollar ($100.00) Instacart, Kroger, Walmart, Target (or alternative provider at Sponsor’s discretion) digital gift card.
- Travel Sweepstakes: A one-hundred-dollar ($100.00) Airbnb, Delta, Hotels.com, Southwest Airlines, American Airlines (or alternative provider at Sponsor’s discretion) digital gift card.
Total approximate retail value (ARV) of all prizes available during the Promotion Period is $9,360. Odds of winning depend on the number of eligible entries received in each Sweepstakes.
Gift card prizes are subject to the terms and conditions of their providers.
Each prize winner is solely responsible for all applicable federal, state and local taxes and any expenses associated with the Promotion and any prize received. No substitution or cash equivalent of any prize shall be permitted except at the option of Sponsor.

Daily Sweepstakes
- 8. Release: By receipt of any prize, winner agrees to indemnify, defend, release and hold harmless Sponsor, Administrator, and each of their respective direct or indirect upstream owners, subsidiaries, affiliates, related entities, suppliers, distributors, advertising/promotion agencies and each such company’s officers, directors, members, employees, contractors, and agents (collectively, the “Released Parties”) from and against any and all losses, damages, liability, illness, injury, claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt, possession, use or misuse of any prize.
- 9. Publicity: To the fullest extent permitted by applicable law, participation in the Promotion constitutes Entrant’s consent to the use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes worldwide, in perpetuity, in any and all media, manner, and formats now known or hereafter devised, without further payment or consideration by Sponsor, Administrator, and any of their agents, direct or indirect upstream owners, subsidiaries, and affiliate companies.
- 10. General Conditions: Sponsor reserves the right to cancel, terminate, suspend and/or modify the Promotion, or any part of it (including, without limitation, these Official Rules), including but not limited to if any fraud, technical failures, human error or any other factor impairs the legality, integrity or efficient and proper functioning of the Promotion, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, pandemic, strike, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Sweepstakes, including but not limited to fulfillment of the prize(s), as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to modify the prizes offered herein and to award the prizes at random from among the eligible entries received up to the time of the impairment. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of Law, and, should such an attempt be made, Sponsor and Administrator reserves the right to seek damages from any such person to the fullest extent permitted by Law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
- 11. No Endorsement: The Promotion is in no way sponsored, endorsed, administered by or associated with any of the digital gift card prize brands (i.e., Starbucks or Uber) featured in the Promotion. Their name(s) and logo(s) are their own registered trademarks and property, and are used for prize identification purposes only. All rights reserved.
- 12. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by any Entrant, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt, possession, or use or misuse of any prize. If for any reason an Entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another Sweepstakes entry, if possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all persons with a legitimate, unawarded, eligible prize claim.

13. Disputes: To the fullest extent permitted by applicable law, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and through one of the following choices: (1) binding arbitration; or (2) small claims court.
YOU CONSENT TO PERSONAL JURISDICTION IN THE NORTHERN DISTRICT OF TEXAS OR APPROPRIATE STATE COURT LOCATED IN DALLAS COUNTY, TEXAS AND AGREE THAT THE RESOLUTION OF ANY DISPUTE MUST BE BROUGHT, FILED AND MAINTAINED EXCLUSIVELY IN TEXAS, REGARDLESS OF WHO INITIATES THE ACTION.

14. Arbitration Agreement. This agreement to arbitrate is intended to be broadly interpreted. It includes, but is not limited to, as permitted by law: (1) disputes and claims arising out of or relating to any aspect of the relationship between you and Sponsor or Administrator, whether based in contract, tort, statute, fraud, misrepresentation or any other legal or equitable theory; (2) disputes and claims that arose before this; (3) any prior interaction with Sponsor or Administrator; (4) disputes and claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; and (5) disputes and claims that may arise after your participation in the Promotion. You agree that, by participating in the Promotion, you, Sponsor and Administrator are each waiving the right to a trial by jury or to participate in a class action, and the Federal Arbitration Act governs the interpretation and enforcement of this agreement. This arbitration agreement shall survive termination of your Contract. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by this agreement, and will be administered by the AAA. The AAA Rules are available online at adr.org or by calling the AAA at 1-800-778-7879. The arbitrator is bound by the terms of your Contract. All issues are for the arbitrator to decide, except that issues relating to the scope and enforceability of the arbitration provision are for the court to decide. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, INCLUDING IN ANY PROCEEDING THAT ORIGINATES IN A SMALL CLAIMS COURT AND ANY RELATED APPEAL. Further, unless both you and we agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
WAIVER OF RIGHT TO JURY TRIAL OR TO CLASS ACTION OR CLASS ARBITRATION:
TO THE FULLEST EXTENT THAT APPLICABLE LAW ALLOWS, YOU AND WE AGREE THAT (1) YOU AND WE WAIVE ANY RIGHT TO TRIAL BY JURY AND (2) NEITHER YOU NOR WE WILL SEEK OR SUPPORT ANY ORDER CERTIFYING AN ACTION OR ARBITRATION INVOLVING YOU AND US AS A CLASS ACTION OR CLASS ARBITRATION OR JOIN OR PARTICIPATE AS A PARTY OR CLASS MEMBER IN ANY ACTION OR ARBITRATION BY ANOTHER PARTY AGAINST EITHER YOU OR US.
Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.
